Terms of Service

1. Acceptance of Terms

By creating an account, initiating a workspace, or accessing Gather ("the Service"), operated by Shortcut (Toma El Atajo SAPI de CV, "Shortcut", "we", "us"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, studio, or other legal entity, you represent that you possess the requisite authority to bind such entity.

2. Description of Service

Gather is a cloud-based studio resource planning and scheduling platform designed for creative, design, and engineering studios. The Service allows teams to visualize team capacity, schedule project allocations, track time off, and coordinate studio operations.

3. User Accounts and Authentication

You must authenticate using a supported authentication method (such as Google OAuth or verified Email Magic Links). You are responsible for maintaining the confidentiality of your authentication credentials and for all activities that occur under your account. You agree to notify us immediately of any suspected unauthorized access or security breach.

4. Intellectual Property & Customer Data

You retain all right, title, and interest in and to all data, project schedules, team allocations, client names, and materials uploaded or submitted to Gather by your workspace ("Customer Data"). Shortcut claims no ownership rights over Customer Data. You grant Shortcut a limited, non-exclusive license to host, process, and transmit Customer Data solely to provide and maintain the Service.

5. Subscriptions, Free Tier, and Billing

Gather provides access under a tiered model comprising an initial trial, a free Starter tier, and paid subscription plans processed securely through Stripe, Inc.

• 14-Day Evaluation Trial: Every newly registered studio workspace begins with a complimentary 14-day evaluation trial granting full access to all scheduling capabilities, reporting, and integrations without requiring credit card information.
• Free Starter Tier: Following trial expiration, studios with five (5) or fewer active scheduled members automatically transition to our Starter tier. The Starter tier is free forever and includes 1 planner seat and full schedule editing capabilities.
• Five-Member Capacity Limit: On the Starter tier, workspaces are capped at five (5) active scheduled members (including pending invitations). If a Starter workspace exceeds 5 members, schedule and allocation mutations are paused (read-only mode) until the workspace upgrades to Pro or reduces active members to 5 or fewer by archiving members or revoking invitations.
• Pro Subscription: Studios requiring unlimited scheduled members, three (3) included planner seats, automated integrations, and advanced reports may subscribe to Gather Pro on a recurring monthly or annual billing cycle.
• Purchasing Power Parity (PPP): We offer localized regional discounts for qualifying countries. Regional eligibility is verified server-side at checkout based on geographic origin.
• Cancellation & Downgrade: You may cancel your paid subscription at any time via the in-app billing portal. Upon cancellation, your workspace retains full Pro access through the end of the paid billing period. At the conclusion of the billing period, the workspace automatically converts to the free Starter tier. Workspaces with 5 or fewer members retain full free editing access; workspaces exceeding 5 members enter the 5-member recovery state.
• Grandfathering & Price Adjustments: If Gather introduces team-size pricing tiers or adjusts subscription pricing in the future, existing Pro workspaces with an active, continuous subscription will be grandfathered at their introductory rate for their existing seat configuration. Any applicable changes will be communicated with at least thirty (30) days advance notice.
• Refund Policy: All subscription fees are billed in advance and are non-refundable except where required by mandatory applicable consumer protection law. Shortcut does not issue prorated refunds for partial billing cycles.

6. Privacy and Data Protection

Your privacy and personal data are governed by our Privacy Policy and, for Mexican residents, our Aviso de Privacidad in compliance with the Mexican Federal Data Protection Law (LFPDPPP). We do not sell Customer Data or use your private workspace information to train generalized machine learning models.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Shortcut (Toma El Atajo SAPI de CV), its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill, arising from or related to your use of or inability to use the Service.

8. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the commercial and civil laws of the United Mexican States (México). Any dispute or controversy arising out of or relating to these Terms shall be submitted exclusively to the jurisdiction of the competent courts of Mexico City (Ciudad de México), waiving any other jurisdiction that may correspond by reason of present or future domicile.
